Mr. Johnston's purchases of Pharmos Corporation comon stock reported herein were matchable under Section 16(b) of the Securities Exchange Act of 1934 with the his sale, to the extent of 57,000 shares, of Pharmos Corporation common stock on June 2, 2010. Mr. Johnston has agreed to pay to Pharmos Corporation any profits realized from such short-swing transactions. However, there were no profits from the short-swing transactions reported herein since the purchase prices were higher than the matching sales prices.
Of the shares beneficially owned by Mr. Johnston, the following shares are held indirectly: 6,000,000 shares by Demeter Trust; 18,804 shares by Lynn Johnston; and 5,641 shares by each of 11/6/78 Trust FBO Bradford Dixon Johnston, 7/15/99 Trust FBO William McCord Johnston and 11/6/78 Trust FBO Alexandra Fowler Johnston.
