Disposition was pursuant to the consummation of the Agreement and Plan of Merger, dated as of November 11, 2009, among Waste Services, Inc. ("WSI"), IESI-BFC Ltd. ("IESI-BFC") and IESI-BFC Merger Sub, Inc. (the "Merger Agreement"). Under the Merger Agreement each WSI common share was exchanged for 0.5833 common shares of IESI-BFC, as of the effective time of the merger, July 2, 2010. Closing price of IESI-BFC on July 2, 2010 was $19.33.
These securities were owned by Westbury (Bermuda) Ltd., which is 100% owned by Westbury Trust. Westbury Trust was an indirect beneficial owner of the reported securities.
