- Attara Capital LP, a Delaware limited partnership ("Attara"), together with David M. Slager ("Mr. Slager"), are the reporting persons (the "Reporting Persons") for the referenced securities. Mr. Slager is the Founder and Chairman of Attara. On December 1, 2009, Attara succeeded Atticus Management Limited (together with its affiliates, "Atticus") as the investment manager of Attara Fund, Ltd. (formerly Atticus European Fund, Ltd.), a Cayman Islands exempt company, and a managed account (such fund and account, collectively, the "Funds"). The shares of the issuer's common stock reported herein are held for the account of the Funds. Attara is not affiliated with Atticus or its founder, Timothy R. Barakett. Prior to founding Attara, Mr. Slager served as the Vice Chairman of Atticus.
- As a result, each of the Reporting Persons may be deemed to be a beneficial owner of the securities owned by the Funds for purposes of Rule 16a-1(a)(1) under the Securities Exchange Act of 1934, as amended (the "Act"). Attara and Mr. Slager disclaim beneficial ownership within the meaning of Rule 16a-1(a)(2) under the Act in the securities owned by the Funds except to the extent, if any, of their pecuniary interest therein.
