There has been no change in the number of shares of common stock beneficially owned by Coliseum Capital Management, LLC ("CCM") as a result of these transactions. These transactions represent a sale by Coliseum Capital Partners, L.P. ("CCP"), an investment partnership advised by CCM, to Blackwell Partners, LLC ("Blackwell"), a separate account advisory client of CCM. Coliseum Capital, LLC, a Delaware limited liability company ("CC"), is general partner of CCP. CCM is a Delaware limited liability company investment adviser. Christopher Shackelton is a director of the Issuer and, together with Adam Gray, manages CCM. As managers of CCM, Messrs. Shackelton and Gray share voting and dispositive power over the shares reported herein. Each of Messrs. Shackelton and Gray, CCP, CC and CCM disclaims beneficial ownership of these securities except to the extent of that person's pecuniary interest therein.
