These limited partnership units ("Units") of NTS Realty Holdings Limited Partnership were purchased pursuant to the terms of a pre-arranged trading plan that is intended to comply with Rule 10b5-1 of the Securities Exchange Act of 1934 (the "Act"). The Units were purchased on behalf of the J.D. Nichols Irrevocable Trust for My Daughters (the "Daughters' Trust"), of which the Reporting Person is the grantor.
  2. The number of Units reported to be beneficially owned by the Reporting Person includes all the Units purchased on behalf of the Reporting Person and the entities controlled or established by the Reporting Person on May 26, 2010.
  3. These Units are owned by the Daughters' Trust which was established by the Reporting Person for the benefit of his children and other descendants.
  4. These Units of NTS Realty Holdings Limited Partnership were purchased pursuant to the terms of a pre-arranged trading plan that is intended to comply with Rule 10b5-1 of the Act. The Units were purchased on behalf of the J.D. Nichols Irrevocable Trust for My Grandchildren (the "Grandchildren's Trust"), of which the Reporting Person is the grantor.
  5. These Units are owned by the Grandchildren's Trust which was established by the Reporting Person for the benefit of his grandchildren and other descendants.

The Units were purchased on behalf of Ocean Ridge Investments, Ltd., a corporation controlled by the Reporting Person.
