On April 26, 2010, pursuant to an underwriting agreement dated April 21, 2010, among iGATE Corporation (the "Company"), the selling shareholders named therein (the "Selling Shareholders") and Jefferies & Company, Inc., as representative of the underwriters named therein (the "Underwriters"), the Selling Shareholders sold 4,598,756 of their outstanding shares of the Company's common stock to the Underwriters at a per share price of $11.25 (for aggregate proceeds, before expenses, of $49,666,565).
