("EPIR") acquired 19,900,498 of the Issuer's common shares in lieu of a payment required under that certain Amended and Restated Research, Development and Supply Agreement, by and between EPIR and the Issuer, dated January 24, 2008. The Reporting Person is the majority shareholder, a director and an officer of EPIR.
