All reported shares were received as a bona fide gift on February 17, 2009, from the distribution of the assets of a trust under which the Lewis Jefferson Moorman IV 2007 Trust was a beneficiary. Mr. Moorman is the Trustee of the Lewis Jefferson Moorman IV 2007 Trust.
The reported shares include 9,311 shares distributed from the Lewis Jefferson Moorman IV 2007 Grantor Retained Annuity Trust on February 24, 2010 and 12,286 distributed from the Laura Howell Moorman 2007 Grantor Retained Annuity Trust on February 24, 2010. Mr. Moorman's child is the beneficiary of the trust.
These shares were sold pursuant to Mr. Moorman's Rule 10b5-1 trading plan adopted by Mr. Moorman on August 21, 2008.

Fully Exercisable.
On December 26, 2007, Mr. Moorman contributed shares of RAX common stock to a grantor retained annuity trust for the benefit of himself and his three children. Upon termination of the trust on February 24, 2010, 27,933 of the remaining shares were transferred to Mr. Moorman's children and continue to be reported in this Form 4 as indirectly owned. The remaining 51,855 shares were distributed to the reporting person and continue to be reported in this Form 4 as directly owned.
On December 26, 2007, the Mr. Moorman's wife contributed shares of RAX common stock to a grantor retained annuity trust for the benefit of herself and her three children. Upon termination of the trust on February 24, 2010, 36,858 of the remaining shares were transferred to Mr. Moorman's children and continue to be reported in this Form 4 as indirectly owned. The remaining 56,530 shares were distributed to Mr. Moorman's wife and also continue to be reported in this Form 4 as indirectly owned.
Mr. Moorman disclaims beneficial ownership of these shares except to the extent of his pecuniary interest.
