As of March 25, 2010, NeoMagic Corporation entered into a Stock Purchase Agreement with investors, including David Tomasello, Attiva Capital Management, LLC, and Commetasa. Pursuant to Rule 13d-3 promulgated under the Securities Exchange Act of 1934, as amended, Mr. Tomasello is deemed to be the beneficial owner of the Common Stock purchased by Attiva and Commetasa.
The shares of Common Stock are held in the name of Attiva Capital Management, LLC, of which Mr. Tomasello disclaims beneficial ownership of the shares except to the extent of his pecuniary interest therein.
