On May 6, 2009, the Reporting Person filed a Form 4 that incorrectly listed the "Amount of Securities Beneficially Owned Following Reported Transaction" (Table I, Box 5) as 12,889. Due to a clerical error, this amount did not include 3,078 shares of restricted stock awarded on April 29, 2009 and reported on Form 4 on May 1, 2009. This error was carried through on subsequent Form 4's filed by the Reporting Person. This Form 4 corrects this error.
2. Through a clerical error, the original Form 4 filed on December 1, 2009 did not include the indirect ownership of shares set forth herein. Prior Form 4's for this Reporting Person did include such shares. The Reporting Person is a co-trustee of the trust. The Reporting Person disclaims beneficial ownership of the shares, except to the extent of his pecuniary interest therein.
