On November 15, 2013, Mr. McClaugherty was assigned all of the membership interest of a privately held limited liability company (the "LLC") in exchange for partial payment of a debt owed by a third party. At the time of the assignment, the LLC owned 6,500 shares of the issuer, which had a value on the date of acquisition of $7.06 per share based on the closing price on November 15, 2013.
The stock represents shares held by the LLC, which Mr. McClaugherty is the sole member.
