Mr. Gordon is a Managing Director of Bain Capital Investors, LLC ("BCI"). BCI is the general partner of Bain Capital Integral Investors 2008, L.P. ("BCII 2008"). By virtue of this relationship, Mr. Gordon may be deemed to share voting and dispositive power with respect to the shares of Common Stock held by BCII 2008. Mr. Gordon disclaims beneficial ownership of such securities except to the extent of his pecuniary interest therein. On May 14, 2013, BCII 2008 sold 2,524,829 shares of Common Stock. Following such sale, BCII 2008 held 23,888,161 shares of Common Stock.
BCI is also the administrative member of BCIP TCV, LLC ("BCIP TCV"). By virtue of this relationship, Mr. Gordon may be deemed to share voting and dispositive power with respect to the shares of Common Stock held by BCIP TCV. Mr. Gordon disclaims beneficial ownership of such securities except to the extent of his pecuniary interest therein. On May 14, 2013, BCIP TCV sold 6,210 shares of Common Stock. Following such sale, BCIP TCV held 58,757 shares of Common Stock.
BCI is also the managing partner of BCIP Associates - G ("BCIP-G").
