Hsiao, in a privately negotiated transaction pursuant to a stock purchase agreement, an aggregate of 4,000,000 shares of the issuer's common stock at a purchase price of $0.25 per share and warrants to purchase an additional 2,000,000 shares of the issuer's common stock with a warrant exercise price of $0.33 per share.
Dr. Hsiao is the general partner of Hsu Gamma Investments, L.P. and disclaims benenficial ownership in the shares held by such entity except to the extent of her pecuniary interest therein.
