Pursuant to the terms of a governance agreement with the Issuer, on January 28, 2013, the Reporting Person irrevocably exercised, subject to the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the "HSR Act"), its preemptive right to purchase shares of common stock. The waiting period under the HSR Act expired on February 28, 2013, and the Reporting Person expects to purchase the shares subject to the preemptive right within 5 business days of such date. The number of shares subject to the preemptive right, and the purchase price thereof, was determined pursuant to the terms of the governance agreement.
