On February 26, 2013, the Board of Directors of the Registrant agreed to issue Mr. Tran an aggregate of 53,226 shares of common stock in consideration for $16,500 owed and which will be owed to Mr. Tran for services rendered and to be rendered from February 15, 2013 to April 1, 2013 and 32,812 shares of common stock which the Board had agreed to issue Mr. Tran in consideration fpr services previously rendered on January 17, 2013 (which were valued at $0.16 per share), which shares were mistakenly left out of such January 17, 2013 issuance and were re-confirmed and reapproved on February 26, 2013.
