- Pursuant to a share transfer agreement, Mr. Jianming Hao had the option to purchase from Mr. Yam Sheung Kwok, the sole shareholder of Expert Venture Limited, up to 101 shares of Expert Venture Limited. Mr. Hao exercised such option on October 3, 2012, and accordingly, Mr. Hao indirectly (through his ownership of Expert Venture Limited) owns and controls 485,761 shares. In addition, the Company granted to Mr. Hao options to purchase 250,000 shares of its common stock, all of which have vested.
