- On October 5, 2012, Staton Bell Blank Check LLC ("SBBC") purchased 250,000 shares of the Issuer's Common Stock at a price of $20.00 per share. The reporting person is the General Partner of Staton Family Investments, Ltd. ("Staton Family"), which is the Managing Member of SBBC and a 50% owner of the equity interests in SBBC. Mr. Staton has a pecuniary interest in the Issuer's shares of Common Stock owned by Staton Family through SBBC and is therefore deemed to beneficially own 125,000 of the shares purchased by SBBC.
