These shares of Bloomin' Brands, Inc. common stock were sold by the reporting person pursuant to the underwriter's partial exercise of its option to purchase additional shares of Bloomin' Brands, Inc. common stock under the underwriting agreement entered into in connection with the initial public offering of Bloomin' Brands, Inc. common stock.
Mr. Humphrey is a general partner of each BCIP TRUST ASSOCIATES III and BCIP TRUST ASSOCIATES III-B (the "BCIPs"). The BCIPs are members of BCIP TCV, LLC. As members of BCIP TCV, LLC, the BCIPs indirectly beneficially own 123,877 shares of common stock. By virtue of these relationships, Mr. Humphrey may be deemed to beneficially own the 122,344 shares of common stock indirectly beneficially owned by the BCIPs. Mr. Humphrey disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
