Dr. Shubin Stein previously beneficially owned 100,000 shares of MRV Communications Inc.'s common stock, and with the additional purchases reported above, now owns 112,990 directly. In addition, Dr. Shubin Stein has sole trading and voting discretion as the managing member of Spencer Capital Management, LLC, which manages various accounts that hold 200,065 shares of MRV Communications, Inc. common stock including the reported purchases above. As the managing member of Spencer Capital Management, LLC, Dr. Shubin Stein may be deemed to be the beneficial owner of the 200,065 shares held in the managed accounts.
