Stephen Chen exercised 3,250,000 options on 11/15/2010, of those options 750,000 shares were issued to ACTS Biosciences, Inc. and 2,500,000 shares were issued to unrelated parties.
This option vested 200,000 immediately (6/4/09); the additional 200,000 options shall vest when animal health sales by Cytobiotech, under company license, occur in South America, resulting in aggregate cumulative royalty payments from such sales of $50,000.00 or more; provided however, that if such sales do not occur within Four (4) years from date of grant, vesting of the second 200,000 shall not occur. Such options shall be exercisable for three (3) years from vesting.
