The per share purchase price of the common stock of Pet DRx Corporation of $0.33523 was determined in connection with that certain Stock Purchase Agreement, dated as of June 2, 2010, by and among the Issuer, Snow Merger Acquisition, Inc., VCA Antech, Inc., Harry L. Zimmerman, an individual in his capacity as the sellers' representative, and those parties listed as a seller on the signature pages thereto (the "Stock Purchase Agreement").
This Form 4 Amendment corrects the number of shares reported in Table I, Column 5. Following the Reporting Person's disposition of 471,092 shares pursuant to the Stock Purchase Agreement, the Reporting Person beneficially owns 178,953.5 shares that are being held in escrow pursuant to that certain Stock Escrow Agreement dated as of March 22, 2006.
