Footnotes

In connection with Mr. Rivera's resignation as CEO of Lyris, Inc. the company repurchased 170,000 shares of common stock from Mr. Rivera at$0.33 per share. The company also amended Mr. Rivera's stock option agreement to extend the period in which he may exercise his option to purchase 3,600,000 vested shares from ninety (90) days to one year following the date of his resignation. Mr. Rivera remains a director of the company.
