On September 14, 2010, the Issuer, Westbury, Westbury Trust and Michael DeGroote entered into a Stock and Option Purchase Agreement ("Agreement"). As part of this Agreement, upon the closing of the Agreement on September 15, 2010, the Issuer acquired for $5,000,000 an option to purchase the remaining 7,716,669 shares of the Issuer held by Westbury.
