EXPLANATORY NOTE
This Amendment No. 1 (this "Amendment No. 1") amends and supplements the Schedule 13D (the "Schedule 13D") filed with the Securities and Exchange Commission (the "SEC") on August 10, 2018 relating to the Class A Ordinary Shares, $0.0001 par value per share (the "Class A Ordinary Shares"), of Jianpu Technology Inc., a Cayman Islands exempted company ("Jianpu" or "the Issuer"). This Amendment No. 1 is filed to reflect its new percentage beneficial ownership in the Issuer, which has decreased as a result of an increase in the number of shares of outstanding Class A ordinary shares of the Issuer. It also reflects changes in the names of certain of the Reporting Persons. Except as specifically provided herein, this Amendment No. 1 does not modify any of the information previously reported on the Schedule 13D. Capitalized terms used but not otherwise defined in this Amendment No. 1 shall have the meanings ascribed to them in the Schedule 13D. | ||

The percentage of Class A Ordinary Shares beneficially owned by each Reporting Person reported in this Amendment No. 1 is calculated based upon (i) 355,404,775 Class A Ordinary Shares outstanding as of December 31, 2023, as reported by the Issuer in its Annual Report on Form 20-F for the fiscal year ended December 31, 2023, filed with the Securities and Exchange Commission (the "SEC") on April 19, 2024 (the "2023 Annual Report"), (ii) 69,370,965 Class B ordinary shares outstanding as of December 31, 2023, as reported in the 2023 Annual Report, (iii) the conversion of all outstanding Class B ordinary shares to Class A Ordinary Shares on April 13, 2025, as reported by the Issuer in its Current Report on Form 6-K, filed with the SEC on February 15, 2025 and (iv) the repurchase of 49,595,615 ordinary shares, as reported by the Issuer in its Interim Report for the period ended June 30, 2024, filed with the SEC on a Current Report on Form 6-K on August 23, 2024. | |
