(a), (b) and (c)
Biing-Seng Wu directly owns 315,322 Shares, representing approximately 0.1% of the outstanding Shares. Biing-Seng Wu beneficially owns (1) 56,549,308 Shares through Sanfair Asia Investments Ltd., a wholly owned subsidiary of Taxus Technology Investment Pte. Ltd. and (2) 20,039,838 Shares through Chi-Duan Investment Co. Ltd. All of the three entities are investment companies controlled by Biing-Seng Wu. Biing-Seng Wu therefore may be deemed to have shared power to vote and dispose of 76,589,146 Shares. Accordingly, Biing-Seng Wu may be deemed to beneficially own an aggregate of 76,904,468 Shares, representing approximately 22.0% of the outstanding Shares as of December 31, 2023.
Taxus Technology Investment Pte. Ltd. may be deemed to beneficially own 56,549,308 Shares as its wholly owned subsidiary, Sanfair Asia Investments Ltd., is the record holder of 56,549,308 Shares. 56,549,308 Shares represents approximately 16.2% of the outstanding Shares as of December 31, 2023.
Sanfair Asia Investments Ltd. directly owns and has shared power to vote and dispose of 56,549,308 Shares, representing approximately 16.2% of the outstanding Shares as of December 31, 2023.
Chi-Duan Investment Co. Ltd. directly owns and has shared power to vote and dispose of 20,039,838 Shares, representing approximately 5.7% of the outstanding Shares as of December 31, 2023.
All of the percentages above are calculated based on the total number of Shares outstanding of 349,448,102 as of December 31, 2023.
