(b) | Sole voting power and disposition power – 52,057,170 shares; includes 19,334,168 shares of Common Stock; 2,413,438 shares of Common Stock issuable upon conversion of 1,500 shares of Series A Convertible Preferred Stock (with a stated value of $1,000 per share) convertible at $0.6215 per share, which price was reset on June 15, 2022; 5,309,564 shares issuable upon exercise of Exchange Warrants issued on October 20, 2022, pursuant to a Warrant Exchange Agreement dated as of October 3, 2022; 12,500,000 shares issuable upon exercise of Series A Common Warrants exercisable at $0.12 per share sold pursuant to Registration Statements 333-267505 and 333-267917 (the “Registration Statements”); and 12,500,000 shares issuable upon exercise of Series B Common Warrants exercisable at $0.12 per share sold pursuant to the Registration Statements. |
