Certain of AIGs subsidiaries have the right to receive or the power to direct the receipt of dividends from, and the proceeds from the sale of, the Mandatory Redeemable Preferred Shares. American General Life Insurance Company and American Home Assurance Company, each an indirect wholly owned subsidiary of AIG, beneficially own 14.0% and 2.0%, respectively, of the outstanding Mandatory Redeemable Preferred Shares.
