Item 1. Security and Issuer
This Schedule 13D relates to shares of the common stock, $0.001 par value per share, of AiAdvertising, Inc., a Nevada corporation (the “Issuer”). The address of the principal executive office of the Issuer is 321 Sixth Street, San Antonio, TX 78215.
Item 2. Identity and Background
(a) | This statement is being filed by Jerry Hug (the “Reporting Person”). |
(b) | The Reporting Person’s principal business address is 321 Sixth Street, San Antonio, TX 78215. |
(c) | Reporting Person is the Director of Operations and 10% shareholder of the Issuer. |
(d) | During the last five years, the Reporting Person has not been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors). |
(e) | During the last five years, the Reporting Person has not been a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violations with respect to such laws. |

Item 3. Source and Amount of Funds or Other Consideration
The 137,442,922 shares of Common Stock beneficially owned by Reporting Person includes 137,442,922 shares of Common Stock issuable upon the exercise of stock options that are exercisable within 60 days of January 6, 2022.
Item 4. Purpose of Transaction
All of the Issuer’s securities owned by the Reporting Person have been acquired for investment purposes only. The Reporting Person has no present plans or proposals that relate to or would result in any of the actions required to be described in subsections (a) through (j) of Item 4 of Schedule 13D. The Reporting Person may, at any time, review or reconsider its positions with respect to the Issuer and formulate plans or proposals with respect to any of such matters, but have no present intention of doing so.

Item 5. Interest in Securities of the Issuer
(a) | As of the date hereof, the Reporting Person beneficially owns 137,442,922 shares, or 13.0%, of the Issuer’s common stock. The Reporting Person’s ownership includes 137,442,922 shares of Common Stock issuable upon the exercise of options that are exercisable within 60 days of January 6, 2022. All percentages in this paragraph relating to beneficial ownership of Common Stock are based on 1,054,698,309 shares of Common Stock outstanding as of January 6, 2022, as reported by the Issuer. The amount of shares of Common Stock that Reporting Person has the right to acquire within 60 days of January 6, 2022 (137,442,922 shares) are deemed to be outstanding for purposes of calculating his beneficial ownership percentage. |
(b) | The Reporting Person has the sole power to vote and dispose of all 137,442,922 shares of Common Stock, including the options. However, the shares of Common Stock underlying the options may not be voted unless and until such options are exercised and such shares issued. |
(c) | Except for the transaction which is the subject of this Schedule 13D, there were no other transactions effected in the last 60 days by the Reporting Person. |
(d) | To the best knowledge of the Reporting Person, no person other than the Reporting Person has the right to receive or the power to direct the receipt of dividends from, or the proceeds from the sale of, the shares of Common Stock covered by this statement and reported in Item 5(a). |
