The security upon which this report is based is the common stock, par value $0.0001 per share, of ANDES 7 Inc., a Delaware corporation, with its principal place of business located at 424 Clay Street, Lower Level, San Francisco, CA 94111.

 

ITEM 2. IDENTITY AND BACKGROUND.

ITEM 3. SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION

 

The Reporting Person, Richard Chiang, consented to redemption of 9,900,000 of shares of common stock. of the then 10,000,000 shares of outstanding stock at a redemption price of $0.0001 per share for an aggregate redemption price of $990.

 

ITEM 4. PURPOSE OF TRANSACTION.

  

As a result of the 9,900,000 redemption of shares from Mr. Chiang, the following changes to the Issuer's directors and officers has occurred on February 12, 2016: 1) Richard Chiang resigned as the Issuer's President, Secretary and Treasurer, effective February 12, 2016, 2) Andrew Khor Poh Kiang was appointed as the Company's sole Director, effective as of February 12, 2016 and 3) Richard Chiang then resigned as a member of the Board of Directors of the Issuer, effective February 12, 2016.

 

ITEM 5. INTEREST IN SECURITIES OF THE ISSUER.

 

Richard Chiang beneficially owns 100,000 shares of the Issuer's Common Stock.

The reporting person is a party to a consulting agreement with the issuer dated February 12, 2016.
