Item 1. Security and Issuer
The class of securities to which this statement on Schedule 13D (this Statement) relates is the common stock, par value $0.0001 per share (the Common Stock), of FTD Companies, Inc., a Delaware corporation (the Issuer or FTD). The Issuers principal executive offices are located at 3113 Woodcreek Drive, Downers Grove, IL 60515.
Item 2. Identity and Background

This Statement is being filed by FTD 50 LLC (FTD 50), and Jeffrey C. Kirwood (Mr. Kirwood, and together with FTD 50, the Reporting Persons and each, a Reporting Person) to report the acquisition of 3,401,004 shares of Common Stock (the Transaction), pursuant to the Stock Purchase Agreement, dated as of May 30, 2019 (the Stock Purchase Agreement), by and between FTD 50 and Liberty Interactive LLC (Liberty), a wholly-owned subsidiary of Qurate Retail, Inc. The Transaction closed on May 31, 2019 (the Closing Date). By virtue of the relationship between FTD 50 and Mr. Kirwood, each Reporting Person may be deemed to beneficially own Common Stock owned by the other.
FTD 50
FTD 50 is formed as a limited liability company under the laws of the State of Colorado. The principal business address of FTD 50 is 1464 Aspen Grove Lane, Vail, CO 81647. FTD 50 is principally engaged in the business of investing.
Mr. Kirwood
Mr. Kirwood is an investor and the sole member of FTD 50. Mr. Kirwoods address is 1464 Aspen Grove Lane, Vail, CO 81647. Mr. Kirwood is a United States citizen.

During the last five years, FTD 50 has not been (i) convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors) or (ii) a party to a civil proceeding of a judicial or administrative body of

competent jurisdiction and, as a result of such proceeding, is or was subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to federal or state securities laws or finding any violation with respect to such laws.

Item 3. Source and Amount of Funds or Other Consideration
Pursuant to the terms of the Stock Purchase Agreement, FTD 50 acquired 3,401,004 shares of Common Stock (the FTD Shares) from Liberty on the Closing Date for an aggregate purchase price of $1.00. The FTD Shares were purchased with working capital.

Item 4. Purpose of the Transaction
FTD 50 acquired the FTD Shares on the Closing Date pursuant to the Stock Purchase Agreement and intends to hold such shares for investment purposes.
Subject to the foregoing and except as described in Item 6 of this Statement or contained in the agreements incorporated by reference as Exhibits hereto, (i) FTD 50 does not have any current plans or proposals that relate to or would result in any of the actions set forth in clauses (a) through (j) of Item 4 of Schedule 13D, and (ii) Mr. Kirwood does not have any current plans or proposals that relate to or would result in any of the actions set forth in clauses (a) through (j) of Item 4 of Schedule 13D.
Notwithstanding anything contained herein, each Reporting Person specifically reserves the right to change its intention with respect to any or all of such matters. In reaching any decision as to its course of action (as well as to the specific elements thereof), each Reporting Person currently expects that it would take into consideration a variety of factors, including, but not limited to, the following: the Issuers business and prospects; other developments concerning the Issuer and its businesses generally; other business opportunities available to such Reporting Person; developments with respect to the business of such Reporting Person; changes in law and government regulations; general economic conditions; and money and stock market conditions, including the market price of the securities of the Issuer.

(a) The Reporting Persons are the beneficial owners of, in the aggregate, 3,401,004 shares of Common Stock, which shares constitute approximately 12.0% of the outstanding shares of Common Stock of the Issuer. The foregoing calculation is based on 28,322,610 shares of common stock of the Issuer outstanding as of March 6, 2019, as reported by the Issuer on its Annual Report on Form 10-K for the fiscal year ended December 31, 2018, filed by the Issuer with the SEC on March 18, 2019.
