This Amendment
No. 1 to Schedule 13G (this “ Amendment No. 1 ”) is being filed with respect to the common stock, $0.0001 par
value (the “ Common Stock ”), of InterCloud Systems, Inc., a Delaware corporation (the “ Issuer
”), to amend the Schedule 13G filed with the Securities and Exchange Commission on April 20, 2015 (the “ Schedule
13G ”). This Amendment No. 1 is being filed to report that none of the Reporting Persons beneficially own more than 5%
of the Common Stock. Capitalized terms used herein and not otherwise defined have the meanings ascribed thereto in the Schedule
13G.

The Company’s Quarterly Report on Form 10-Q for the quarterly
period ended September 30, 2015 filed with the Securities and Exchange Commission on November 12, 2015 discloses that the total
number of outstanding shares of Common Stock as of November 6, 2015 was 25,983,224. The percentage set forth on Row (11) and the
number of shares of Common Stock set forth on rows (6), (8) and (9) of the cover page for each Reporting Person are based on the
Company’s total number of outstanding shares of Common Stock and assume the exercise of warrants (the “Warrants”).

Pursuant to the terms of the Warrants, the Reporting Persons
can exercise the Warrants into the number of shares set forth on rows (6), (8) and (9) of the cover page for each Reporting Person.
