QGA

Because of its position as the sole
general partner of QGCM, QGA may, pursuant to Rule 13d-3(d)(1)(i) of the Act, be deemed to be the beneficial owner of 7,332,527
shares of the Common Stock, which constitutes approximately 9.52% of the 77,019,244 shares of the Common Stock deemed to be outstanding.

RS

Because of its position as the sole
manager of QGA, which is the sole general partner of QGCM, RS may, pursuant to Rule 13d-3(d)(1)(i) of the Act, be deemed to be
the beneficial owner of 7,332,527 shares of the Common Stock, which constitutes approximately 9.52% of the 77,019,244 shares of
the Common Stock deemed to be outstanding.

RRI

Because of its position as the sole
managing member of RS, which is the sole manager of QGA, which is the sole general partner of QGCM, RRI may, pursuant to Rule 13d-3(d)(1)(i)
of the Act, be deemed to be the beneficial owner of 7,332,527 shares of the Common Stock, which constitutes approximately 9.52%
of the 77,019,244 shares of the Common Stock deemed to be outstanding.

Raynor

Because of his position as the President
and sole shareholder of RRI, which is the sole managing member of RS, which is the sole manager of QGA, which is the sole general
partner of QGCM, Raynor may, pursuant to Rule 13d-3(d)(1)(i) of the Act, be deemed to be the beneficial owner of 7,332,527 shares
of the Common Stock, which constitutes approximately 9.52% of the 77,019,244 shares of the Common Stock deemed to be outstanding.

To the best of the knowledge of the
Reporting Person, other than as set forth above, none of the persons named in Item 2 herein is the beneficial owner of any shares
of Common Stock or Preferred Stock.
