13D Filing: Lion Point and Lattice Semiconductor Corp (LSCC)

Pursuant to the
Agreement, the Lion Point Group and certain of their affiliates have agreed to certain customary standstill provisions
lasting from the date of the Agreement until the earlier of (1) 11:59 p.m., Pacific time, on the day that is 15 business days
prior to the deadline for the submission of stockholder nominations of directors and business proposals for the
Issuer’s 2019 Annual Meeting of Stockholders; and (2) the date that is 100 days prior to the first anniversary of
the 2018 Annual Meeting (such period, the “Restricted Period”). The standstill provisions provide, among other
things, that the Lion Point Group and certain of their affiliates cannot: (i) solicit proxies regarding any matter to come
before any annual or special meeting of stockholders of the Issuer, including the election of directors; (ii) enter into a
voting agreement or any “group” with stockholders of the Issuer, other than with other Investors (as defined in
the Agreement); (iii) encourage any person to submit nominees in furtherance of a contested solicitation for the election or removal
of directors; (iv) submit any proposal for consideration by stockholders of the Issuer at any annual or special meeting
of stockholders; or (v) acquire any securities of the Issuer or rights that would result in the Investors owning more than
14.9% of the then-outstanding Voting Securities (as defined in the Agreement).

of the Agreement is qualified in its entirety by reference to the Agreement, which is attached as Exhibit 99.1 hereto and is incorporated
herein by reference.

On March 7, 2018,
the Lion Point Group and the Issuer entered into the Agreement defined and described in Item 4 above and attached as Exhibit 99.1
hereto.
