Items 5 (c) of the Schedule 13D is hereby amended by the addition of the following:

(c) The following table sets forth all transactions with respect to Shares effected during the past sixty (60) days by any of the Reporting Persons. Except as otherwise noted below, all such transactions were purchases of Shares effected in the open market, and the table includes commissions paid in per share prices.

(1)	Represents Shares acquired pursuant to forward contracts. On August 10, 2017, the Reporting Persons exercised all forward contracts held by the Reporting Persons as of that date for an aggregate of 72,680 Shares.

Represents a forward price of $35.00 per Share, plus the amount per Share the Reporting Person paid the counterparty to the forward contract or minus the amount per Share the Reporting Person received from the counterparty to the forward contract, as applicable, in each case upon entering into such forward contract. In addition, the Reporting Person paid a financing charge to the counterparty to such forward contract.

On August 10, 2017, the Reporting Persons exercised all forward contracts held by the Reporting Persons as of that date and thereby acquired 72,680 Shares in the aggregate.
