10.3
Amendments and Modifications. This Agreement may not be modified, amended, altered or supplemented except
upon the execution and delivery of a written agreement executed by all of the parties hereto. No failure or delay by any party
hereto in exercising any right, power or privilege hereunder shall operate as a waiver thereof nor shall any single or partial
exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power or privilege. The rights
and remedies herein provided shall be cumulative and not exclusive of any rights or remedies provided by applicable Law.

10.4
Expenses. All costs and expenses incurred in connection with this Agreement shall be paid by the party incurring
such cost or expense except as provided for in Schedule B attached.

Notices. All notices, requests and other communications to any party hereto hereunder shall be in writing
(including digital transmission) and shall be given to the addresses listed below or to such other address or email address as
such party may hereafter specify for the purpose by notice to the other parties hereto. All such notices, requests and other communications
shall be deemed received on the date of receipt by the recipient thereof if received prior to the local close of business of the
recipient on a Business Day. Otherwise, any such notice, request or communication shall be deemed to have been received on the
next succeeding Business Day.
